Terms of Service

Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of Hire Mika ("Mika," the "Service"), including our website at hiremika.com, our dashboard, our API, and the Mika chat widget. Hire Mika is a service of Dcipher LLC ("Dcipher," "we," "us," or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Description of Service
Hire Mika is a lead conversion platform and 24/7 sales assistant that business owners embed on their websites. Mika engages website visitors in natural conversation, answers questions about the business, captures lead information, and books appointments on the business owner's behalf. Mika supports conversations in 8 languages with automatic detection.
The Service includes a customer dashboard for managing business configuration, viewing captured leads and conversations, scheduling appointments, managing team members, configuring automated follow-up sequences, and managing billing. For dealerships, the Service includes vehicle inventory management with in-chat search and photo display. For retail businesses, the Service includes product catalog integration with automatic Shopify synchronization where applicable. Premium dealer tools (OctaneKit) are available for dealership customers, including window sticker generation, FTC buyers guide forms, VIN decoding, and photo overlay editing.
The Service supports multi-location accounts, allowing a single user to manage multiple business locations, each with its own configuration, subscription, and team.
Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using the Service, you represent and warrant that you meet these requirements.
Account Registration and Security
To use the Service, you must create an account and provide accurate, complete information about yourself and your business. You agree to:
- Keep your account credentials confidential and not share them with others
- Notify us immediately if you suspect unauthorized access to your account
- Maintain accurate and up-to-date account information
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that contain false or misleading information.
Team Members and Roles
Account owners may invite additional users to their account as team members. Team members are assigned roles (owner, admin, or staff) that determine their level of access. The account owner is responsible for managing team members and ensuring all team members comply with these Terms. The account owner is liable for actions taken by team members within the Service.
Model-Generated Content
Mika uses advanced language models to generate responses to visitor questions based on the business information you provide. You acknowledge and agree that:
- Responses may occasionally be inaccurate, incomplete, or inappropriate despite our safeguards
- You are responsible for reviewing the accuracy of information Mika communicates and updating your business details if you find errors
- Mika's responses do not constitute professional, legal, medical, financial, or other specialized advice
- We are not liable for decisions made by visitors based on Mika's responses
- We implement content filtering and guardrails, but no filtering system is perfect
We reserve the right to modify, improve, or update the underlying models and systems at any time to enhance safety, accuracy, or performance.
Acceptable Use
You agree not to use the Service to:
- Engage in any unlawful, fraudulent, deceptive, or harmful activity
- Provide false or misleading business information for Mika to communicate to visitors
- Collect sensitive personal information through Mika, including but not limited to health data, financial account numbers, social security numbers, or passwords
- Attempt to manipulate, jailbreak, reverse-engineer, or circumvent the system's safety guardrails
- Use the Service to generate spam, phishing content, malware, or other harmful material
- Exceed your plan's message limits through automated, scripted, or abusive means
- Resell, redistribute, sublicense, or white-label the Service without our prior written consent
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Scrape, crawl, or use automated means to access the Service beyond normal widget and API usage
- Use the Service in a manner that violates any applicable law or regulation
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these usage restrictions.
Customer Responsibilities
As a customer using Mika on your website, you agree to:
- Disclose to your website visitors that they are interacting with an automated assistant, not a human
- Ensure your use of captured lead data complies with all applicable privacy laws, including CAN-SPAM, CCPA, GDPR, and any local regulations
- Provide accurate and up-to-date business information for Mika to reference
- Respond to and handle leads captured by Mika in a timely and professional manner
- Include appropriate privacy disclosures on your website regarding the use of automated chat
- If using vehicle inventory or product catalog features, ensure that all listed items, prices, and availability information are accurate and current. You are responsible for keeping your inventory or catalog data up to date.
- If using automated follow-up email sequences, ensure that your follow-up content complies with applicable email marketing laws, including CAN-SPAM requirements for commercial messages
Plans and Billing
The Service is offered in multiple tiers, including a Free plan and paid subscription plans billed monthly or annually. Industry-specific plans are available for dealerships (with vehicle inventory features) and retail businesses (with product catalog features) at different price points. The Free plan provides limited access to the Service at no cost and does not require a credit card. Paid plans are processed through Stripe. By subscribing to a paid plan, you must accept these Terms of Service and our Privacy Policy. Your acceptance is recorded and timestamped.
Managed Subscriptions
For certain plans, including dealership and enterprise accounts, subscriptions may be created on your behalf by our team during an assisted onboarding process. These managed subscriptions are governed by the same Terms. By providing payment information and authorizing subscription creation during onboarding, you agree to all billing terms described in this section, including recurring charges, cancellation policies, and price change notifications.
Free Plan
The Free plan includes a limited number of messages per month. When the monthly message limit is reached, the chat widget will display a "contact us" message to visitors instead of engaging in conversation. The message limit resets at the beginning of each calendar month. Free plan accounts are subject to a brief activation period after signup before the widget goes live. The Free plan is available indefinitely, subject to these Terms.
Paid Plans
By subscribing to a paid plan, you agree to:
- Pay all fees associated with your selected plan
- Provide valid payment information through Stripe
- Authorize recurring charges until you cancel
- Stripe's Terms of Service and Privacy Policy govern how your payment information is collected, stored, and processed. We do not store your full credit card number on our servers.
Cancellation
You may cancel your subscription at any time from your dashboard or through the Stripe billing portal. Cancellation takes effect at the end of your current billing period. You will retain access to your paid plan features until the period ends. After cancellation, your account will revert to the Free plan. Your business data, settings, and conversation history are preserved.
Refunds
We generally do not offer refunds for partial months of service. If you believe you have been charged in error, contact us at hello@hiremika.com within 30 days of the charge and we will review your request on a case-by-case basis.
Failed Payments
If a payment fails, we will notify you via email. If payment is not resolved within a reasonable period, we may downgrade your account to the Free plan. You can update your payment method at any time through the Stripe billing portal accessible from your dashboard.
Price Changes
We reserve the right to change pricing with at least 30 days' notice via email. Price changes apply to the next billing cycle after the notice period. If you do not agree to a price change, you may cancel before it takes effect.
Fair Use and Abuse Prevention
The Service is designed for legitimate business use. To prevent abuse and ensure fair access for all users, the following restrictions apply:
- One location per domain. Each website domain may only be associated with one Mika location. Creating multiple locations for the same domain, or creating locations with domains you do not own or operate, is prohibited.
- Domain changes are limited. You may change your registered domain once through the dashboard. After that, domain changes require contacting support. This prevents abuse through repeated domain switching.
- No proxy or relay use. The Service may not be used as a proxy, relay, or wrapper to access underlying AI models for purposes unrelated to your business website. This includes using the Free plan to obtain AI-generated content for use outside of the embedded chat widget.
- Automated access. Sending messages to the chat API through automated scripts, bots, or programmatic means (other than the official Mika widget) is prohibited unless expressly authorized in writing.
- Rate limits. All plans are subject to message rate limits as described on our pricing page. Attempts to circumvent rate limits through any means will result in immediate account suspension.
We reserve the right to suspend or terminate any account that we determine, in our sole discretion, is being used in violation of this section. Suspended accounts may not be entitled to a refund.
Automated Follow-Up Emails
The Service may send automated follow-up emails to visitors on your behalf, including appointment reminders, thank-you messages, review requests, and rebooking suggestions. You acknowledge and agree that:
- Follow-up emails are sent using your business name and configured settings. You are responsible for the content and compliance of these communications.
- Visitors may unsubscribe from follow-up emails at any time using the unsubscribe link included in every message. We honor all unsubscribe requests immediately.
- You will not use follow-up sequences to send unsolicited commercial messages unrelated to the visitor's interaction with your business through Mika.
- Review request emails link to your Google Review page without filtering by visitor sentiment. All visitors who complete an appointment receive the same review request.
Vehicle Inventory and Product Catalog
If your plan includes vehicle inventory or product catalog features, the following additional terms apply:
- You are solely responsible for the accuracy of inventory and catalog data, including pricing, availability, descriptions, and photos. Mika presents this data to visitors as provided by you.
- For Shopify-connected stores, the Service automatically synchronizes product data from your Shopify store daily. You are responsible for ensuring your Shopify data is accurate.
- Vehicle inventory data may be uploaded via CSV or synced through our API. You are responsible for keeping inventory current and removing sold or unavailable vehicles.
- We do not guarantee that inventory or catalog information presented to visitors is current at the time of viewing, as there may be a delay between data updates and visitor interactions.
Additional Terms for Automobile Dealerships
If you operate an automobile dealership, the following additional terms apply:
- Franchise and OEM compliance. You are solely responsible for ensuring that your use of the Service complies with any obligations under your franchise agreement, dealer agreement, or manufacturer (OEM) requirements. This includes restrictions on third-party tools, advertising guidelines, pricing display rules, and any required disclosures. We are not a party to your franchise or OEM agreements and bear no responsibility for your compliance with them.
- ADF/XML lead delivery. If you configure ADF/XML lead delivery for CRM integration, we transmit lead data in standard ADF 1.0 format to the email address you provide. We are not responsible for how your CRM processes, stores, or acts on that data, nor for any data loss or corruption that occurs after delivery.
- Pricing and availability. Vehicle prices, availability, mileage, and condition displayed through the Service are based entirely on the data you provide. The Service may encourage visitors to confirm details directly with your team before visiting. You are responsible for ensuring that pricing and availability information complies with your state's advertising and consumer protection laws.
- No financing or credit representations. Mika does not provide financing quotes, credit decisions, or payment calculations. If visitors ask about financing, Mika will direct them to your team. You are responsible for ensuring that any financing-related content in your business configuration complies with the Truth in Lending Act (TILA) and applicable state regulations.
Intellectual Property
The Service, including the Mika system, widget code, API, dashboard, and all associated technology, designs, and documentation, is owned by Dcipher LLC and protected by intellectual property laws.
You retain ownership of all business content and data you provide to the Service. By using the Service, you grant us a limited, non-exclusive, revocable license to use your business information solely for the purpose of operating Mika on your behalf.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code of the Service.
Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you agree to the data practices described in the Privacy Policy.
Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may:
- Perform maintenance or updates that temporarily affect availability
- Modify, update, or discontinue features of the Service at any time
- Impose usage limits or restrictions to ensure fair use and system stability
We will provide reasonable notice for planned downtime and material changes when possible.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF MODEL-GENERATED CONTENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that generated responses will be accurate, complete, or appropriate for any particular purpose.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DCIPHER LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:
- Loss of revenue, profits, or business opportunities
- Inaccurate or incomplete responses generated by Mika
- Unauthorized access to or alteration of your data
- Service interruptions or downtime
- Actions taken by website visitors based on Mika's responses
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless Dcipher LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including privacy rights
- The business information you provide to the Service
- Your handling of lead data captured through the Service
Termination
We may suspend or terminate your access to the Service immediately if you violate these Terms, engage in abusive behavior, violate the Fair Use and Abuse Prevention policy, or if we are required to do so by law. We may also terminate accounts that remain inactive for an extended period.
You may terminate your account at any time by canceling your subscription and deleting your account from the dashboard Account page. Upon termination, your business data, configuration, leads, and conversation history will be permanently and irreversibly deleted.
Sections that by their nature should survive termination will survive, including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.
Changes to Terms
We may revise these Terms at any time. We will notify you of material changes via email or through the dashboard at least 30 days before the changes take effect. The "Effective date" at the top of this page indicates when the Terms were last revised.
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in New Jersey.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
